§ 1 Scope and order of precedence
(1) These terms apply to contracts for the use of the CÉCILE studio, studio bookings, drop-ins, packages, credits, guest passes, membership services and the CÉCILE app, including organisational services.
(2) Individual agreements, expressly incorporated offer conditions and the CÉCILE Members Club terms take precedence over these terms where they govern the same matter. For the membership, membership fees, contract periods and special membership rights, the CÉCILE Members Club terms apply first.
(3) The website terms for the Teacher Training remain a separate set of terms.
§ 2 Conclusion of contract and scope of services
(1) Descriptions in the app, on the website or in the studio are generally not a binding offer. A contract is concluded through a booking and its confirmation, or when the booked service is activated.
(2) CÉCILE may decline bookings for an objective reason, in particular if there is no capacity, the safety check has not been completed, payments are outstanding, studio or safety rules have been breached, or there is a technical fault.
(3) The scope, place, time, duration, preparation and requirements for participation follow from the booking, the offer text and the current notices in the studio or the app.
§ 3 User account and app
(1) Some features require a personal user account. Account details must be complete, truthful and kept up to date.
(2) Login details must be kept confidential; any unauthorised access must be reported without delay.
(3) The account is not transferable. Bookings, credits and personal benefits may only be used by the person entitled to them.
(4) Features may be restricted temporarily for maintenance, security or data protection reasons; statutory rights remain unaffected.
(5) For all memberships, “Unlimited” means no more than one booking per day and module; for TRAIN, no more than one booking per day and training format.
§ 4 Booking windows, availability and waitlist
(1) Measured from the respective start time, the regular booking windows are: Evolve 14 days, Elevate 10 days, Essential 8 days and drop-in bookings 7 days. What the app currently shows is decisive.
(2) Bookings are only possible within the spots available; there is no entitlement to a particular date, instructor or session unless this has been expressly promised.
(3) A waitlist booking is a binding advance booking. The credit used is reserved on joining the waitlist. If a spot becomes free, the booking is confirmed automatically, without checking back with the member. From this automatic confirmation, the normal cancellation and no-show rules apply. If the automatic confirmation takes place within twelve hours before the start, the booking can no longer be cancelled in the regular way; it is subject to the no-show rules, unless an eligible member uses Flex as permitted under § 6. If no spot becomes free, the reserved credit is released.
§ 5 Packages, credits, validity periods and Freeze
(1) Packages and credits entitle the holder to use the services named within the respective validity period; a credit is used when a binding booking is made.
(2) Credits are valid as follows: credits from memberships for the billing month in which they are credited and the following billing month, credits for MEASURE only for the billing month in which they are credited; INTRO and INTRO PLUS for two weeks from purchase; purchased packages for twelve months from purchase; gift credits for three years; vouchers until the end of the third calendar year after the calendar year of purchase. Unused credits expire at the end of their validity period, where permitted by law.
(3) Credits are personal, not transferable and cannot be exchanged for cash. Statutory rights to unwind, terminate or obtain a refund remain unaffected.
(4) Members can take a Freeze for one full billing month once per membership year. The Freeze must be requested at least 14 days before the start of the Freeze month. During the Freeze there is no billing and no bookings can be made. Existing credits are paused and continue with their remaining validity after the Freeze.
§ 6 Cancellation and Flex
(1) A booking can be cancelled or rebooked free of charge up to twelve hours before the start, unless the type of booking provides otherwise. The credit used is returned immediately and in full and keeps its original expiry date.
(2) Flex is not a rebooking. Within the twelve-hour cancellation period and no later than one hour before the start, a member can release their spot. The spot is offered to the waitlist, not to a person of the member’s choosing. The credit is only returned if the spot is actually taken by someone else. If the spot stays empty, it counts as a no-show. A release cannot be reversed. All membership tiers include two Flex releases per billing month. Flex is strictly separate from the guest pass.
(3) In justified exceptional cases, CÉCILE may decide otherwise as a gesture of goodwill; there is no entitlement to this.
§ 7 No-show
(1) A no-show is anyone who does not attend, does not cancel in time, or arrives after the start of the booked slot and is therefore turned away. The credit used is forfeited, or the drop-in price is not refunded.
(2) No additional no-show fee is charged for the time being.
(3) Instructions from the team and the safety and check-in rules remain unaffected.
§ 8 Welcome offers and guest passes
(1) Welcome offers are only for new customers and can be used once per person. Only one of the offers INTRO, INTRO PLUS or Salt & Light first session can be chosen. The offers cannot be combined, transferred or given as a gift.
(2) Guests need their own CÉCILE app account. Guest passes are personal, not transferable and only valid for the service and period named. The cancellation and no-show rules for non-members apply to guests.
(3) Guests must be at least 18 years old. The same person may make no more than three guest visits within a rolling period of twelve months from their first guest visit. This applies to all guests, including guests of members.
(4) The safety, health, house and data protection rules apply to guests accordingly. The person who invites a guest must make sure that the guest meets the booking and check-in requirements.
§ 9 Studio services, Body Scan, Polar wristband and camera
(1) Body Scan, the Polar wristband, heart rate data and comparable measuring or documentation services support training and processes within the studio. They are not a medical examination, diagnosis, therapy or medical advice.
(2) Polar wristbands must be handled with care and returned after the session. In the event of loss or damage for which the user is responsible, CÉCILE may claim compensation.
(3) Camera recordings are only made where they are required for the specific process and clearly indicated. This may concern the check-in, the photo of a doctor’s clearance or capturing a Body Scan report. Marketing or publication requires separate, express consent.
(4) Measurement results may vary for technical reasons; no particular health effect is owed.
§ 10 Prices, payment and invoices
(1) The prices shown when the contract is concluded apply. Unless stated otherwise, they are final prices including statutory VAT, where VAT applies.
(2) CÉCILE operates on a cashless basis. Payments can be processed in particular via Stripe or the payment methods offered in the app.
(3) In the event of justified chargebacks or failed payments, costs permitted by law may be charged and services may be blocked until the amount has been settled.
(4) Invoices and receipts may be provided electronically.
§ 11 Health and safety rules
(1) Participation requires complete and truthful answers in the health questionnaire and that any changes are reported before each participation.
(2) If an answer is “yes” or unclear, required information is missing, there are acute complaints or any other uncertainty, no automatic final decision on medical suitability is made. In line with its safety concept, CÉCILE may require a manual review, a new declaration or a medical assessment, or refuse participation.
(3) For cryotherapy, the following apply: protective clothing, an introduction, the maximum session duration shown for the specific setup, and operation by trained or certified staff.
(4) Sessions can be stopped at any time; CÉCILE may refuse, interrupt or stop participation or a session for safety reasons.
(5) Physical complaints, incidents and technical events are recorded and followed up.
§ 12 House rules and conduct
In the studio, everyone must act considerately, keep things clean and be mindful of safety. Instructions, notices and event-related information are binding. No alcohol or drugs may be consumed in the 24 hours before cryotherapy and Salt & Light; participation under their influence is excluded. Non-slip socks (Grippy Socks) are mandatory for Lagree; they are available in the studio. Anyone who arrives after the start of the booked slot may be turned away and counts as a no-show. Animals, dangerous objects and disruptive behaviour may be excluded. Everyone is responsible for securing their own belongings. § 15 applies to damage.
§ 13 Changes, cancellations and replacement dates
CÉCILE may change dates, instructors, rooms or procedures for an important organisational, technical or safety-related reason and will inform customers via the app or the contact details provided. If a session is cancelled, a replacement date, a credit or a refund may be offered in accordance with the offer. Force majeure, official measures and compelling safety reasons may lead to restrictions.
§ 14 Data protection and consent
Personal data is processed in accordance with the applicable data protection provisions and privacy notices. Health data, clearance photos, clearance status, Body Scan and heart rate data are only processed to the extent required and on the legal basis stated in each case. Access is role-based on a need-to-know basis; there is no access for marketing purposes. Details are set out in the privacy policy, in particular Section 11.7, and in the health questionnaire. The LifeCube control app is operated anonymously; customer profiles and PDF medical histories on the tablet or SD card are not used.
§ 15 Liability
(1) CÉCILE is liable without limitation for damage caused by intent or gross negligence on the part of CÉCILE, its legal representatives or vicarious agents.
(2) CÉCILE is liable without limitation for damage resulting from injury to life, body or health caused by an intentional or negligent breach of duty.
(3) In the event of a slightly negligent breach of essential contractual obligations, CÉCILE is only liable for the foreseeable damage typical for the contract. Otherwise, liability for slight negligence is excluded to the extent permitted by law.
(4) Mandatory statutory liability remains unaffected.
§ 16 Term, termination and suspension
Individual bookings end when they take place, are properly cancelled or expire. Packages and credits end when their validity period expires or they have been used in full. The right to extraordinary termination remains unaffected. CÉCILE may suspend an account or services for good cause, in particular for a safety breach, misuse or late payment. Statutory consumer rights remain unaffected.
§ 17 Account deletion and records
Deletion of the app account can be requested via the account function or by email to hello@cecilestudios.com. CÉCILE deletes or anonymises data unless a statutory retention obligation, a legitimate interest in keeping records or another legal reason prevents this. Deleting the account does not automatically end payment claims, current bookings or the necessary retention of receipts and records.
§ 18 Final provisions
German law applies, excluding the UN Convention on Contracts for the International Sale of Goods, unless mandatory consumer protection provisions conflict with this. The contract language is German. Declarations may be made electronically where permitted by law. If any provision is invalid, the remaining provisions remain unaffected; the invalid provision is replaced by the legally permissible provision that comes closest to its economic purpose.
